Ambassador & Affiliate Terms
Last Updated: October 2026
By participating in the LogToLast Ambassador & Affiliate Program ("the Program"), you ("Affiliate," "you," or "your") agree to be bound by the following terms and conditions ("Agreement"). This Agreement is entered into between you and LogToLast LLC, a Wyoming limited liability company with its registered address at 30 N Gould St, STE R, Sheridan, WY 82801, USA ("LogToLast," "we," "us," or "our"). This Agreement protects the integrity of our platform and ensures our partners are rewarded fairly.
1. Direct Commission Tiers & Performance Upgrades
Direct commissions are calculated strictly on the net collected subscription revenue (after any promotional discounts or referral coupons are applied) paid by genuine retail customers who subscribe to LogToLast using your unique referral link or coupon code. All new affiliates start at a baseline commission rate of twenty percent (20%) from their very first qualifying referral:
- Standard Tier (0โ24 Active Referrals): 20% commission on the referred user's subscription payments for the lifetime of their continuous active subscription.
- Advanced Tier (25โ99 Active Referrals): 25% commission for the lifetime of the referred user's continuous subscription, plus a 50% discount on your personal LogToLast subscription for 6 months.
- Legend Tier (100+ Active Referrals): 30% commission for the lifetime of the referred user's continuous subscription, plus a complimentary Pro subscription for 12 months.
- VIP Fast-Track & Solo Whale Overrides: Established creators, trading educators, or institutional partners may be approved by LogToLast administration for an immediate Fast-Track rate of 30%, or up to 40% for direct individual agreements where no recruiter intermediary is present, subject to written mutual agreement.
Tier upgrades are automatically evaluated by our system when a new qualifying referral is recorded. Upgrades take effect within 24 hours of meeting the threshold. Downgrades may occur if your active referral count drops below a tier threshold due to cancellations.
*Note: "Lifetime" refers strictly to the uninterrupted lifespan of the referred customer's active subscription. If a referred customer cancels their subscription and reactivates it at a later date, the affiliate link is broken, and no further commissions will be paid.
Promotional Sales & Dynamic Campaign Boosters: LogToLast occasionally runs promotional sales events (e.g., Black Friday, seasonal holidays) featuring promotional discount codes. To ensure business sustainability during these promotional periods, affiliate referral codes may dynamically inherit the active promotional discount for the customer's initial billing cycle. All commissions continue to be calculated strictly on the net collected amount. Upon the conclusion of the promotional cycle, referred subscriptions automatically transition to the standard ten percent (10%) recurring customer discount, restoring standard recurring affiliate commissions.
2. Two-Tier Master Recruiter Program & Good-Faith Alliance
LogToLast operates an institutional Two-Tier (2-Step) Affiliate Architecture designed to reward strategic ambassadors and master partners ("Master Affiliates" or "Recruiters") who introduce productive content creators, trading educators, or trading communities ("Sub-Affiliates" or "Direct Closers") to the LogToLast ecosystem.
2.1 Master Recruiter Override: When an approved Sub-Affiliate registers under a Master Affiliate's unique recruitment link or is linked via administrative authorization, the Master Affiliate shall receive a ten percent (10%) Recruiter Override commission calculated on the net collected subscription revenue generated by that Sub-Affiliate's direct customer referrals.
2.2 Anti-Pyramid & Regulatory Compliance: The Program strictly complies with United States Federal Trade Commission (FTC) standards and the European Union Unfair Commercial Practices Directive (UCPD). To maintain absolute legal compliance:
- Strict Two-Level Limit: The Program is permanently locked at a maximum of two (2) tiers (Tier 1: Direct Closer; Tier 2: Master Recruiter Override). There are no Tier 3, Tier 4, or multi-level / network marketing levels.
- No Pay-to-Play: Enrollment in the Program is completely free. No fees, starter packages, or inventory purchases are required to earn commissions.
- Retail Revenue Only: Commissions are paid solely from actual, paid software subscriptions by retail trading customers. Zero commission is ever paid for the mere introduction, recruitment, or signup of another affiliate. If a recruited Sub-Affiliate generates zero software sales, the Master Affiliate earns exactly $0.00.
- Margin Sentinel (40% Maximum Aggregate Hard Cap): Under no circumstances shall the combined aggregate payout across all tiers exceed forty percent (40.0%) of the net collected revenue on any transaction.
2.3 Lifetime Good-Faith Alliance & Non-Compete Covenant: In recognition of the Master Affiliate's long-term contribution, Recruiter Override commissions are Lifetime Recurring for the continuous active duration of the underlying customer subscriptions, provided the Master Affiliate maintains a continuous relationship of commercial loyalty, good faith, and alignment with LogToLast LLC. Specifically:
- Non-Promotion of Direct Competitors: The Master Affiliate covenants and agrees that they shall not publicly promote, market, endorse, sponsor, or accept commercial remuneration from any direct competing software platform that provides automated trade replication (Trade Copier) or trading journaling tools.
- Non-Poaching & Non-Diversion: The Master Affiliate shall not solicit, divert, recruit, or attempt to divert any LogToLast retail customers, sub-affiliates, brand ambassadors, or proprietary firm partners to any competing software or platform.
- Commercial Goodwill: The Master Affiliate shall not engage in disparagement, defamatory statements, or bad-faith business practices targeted at LogToLast LLC, its technology, or its management.
2.4 Remedies for Breach: If LogToLast LLC discovers, through verifiable evidence, that a Master Affiliate has materially violated the Good-Faith Alliance or Non-Compete Covenant set forth in Section 2.3, LogToLast reserves the right to immediately and unilaterally revoke the Master Affiliate's Tier 2 status, forfeit all future Recruiter Overrides, and deactivate their recruitment links. In any such enforcement action, the underlying software subscriptions of retail traders and the direct Tier 1 commissions of innocent Sub-Affiliates shall remain completely unaffected and preserved.
3. Payout Terms & Net-30 Schedule
To protect LogToLast against credit card fraud and chargebacks, all affiliate commissions are subject to a strict Net-30 holding period.
- Commissions generated from a referral's payment become "Payable" exactly 30 days after the transaction clears successfully.
- If the referred user issues a chargeback, requests a refund, or is flagged for fraud during that 30-day window, the pending commission is entirely voided.
- Minimum Threshold: Payouts will only be processed once your "Payable" balance reaches a minimum of $50.00 USD.
- Taxes: You are acting as an independent contractor. You are solely responsible for calculating, reporting, and remitting any local, state, or national taxes on the commissions you earn.
- Payment Method: All payouts are processed via PayPal or Wise (formerly TransferWise) to the email address associated with your LogToLast account. It is your responsibility to ensure your PayPal or Wise account is properly configured to receive payments.
- Currency: All commission amounts are denominated in United States Dollars (USD). Currency conversion fees and exchange rate risks are the sole responsibility of the affiliate.
- Offsets: LogToLast reserves the right to offset future commissions against any overpayments, chargebacks, or fraud-related losses.
4. FTC Compliance, Disclosures & Paid Advertising
If you are promoting LogToLast in the United States or to US-based audiences, you must clearly and conspicuously disclose your affiliate relationship (e.g., #ad, #sponsored, or clear text indicating you may earn a commission). Similar disclosure laws apply in the EU, UK, Canada, and Australia.
Paid Advertising (Brand Bidding Ban): You are permitted to run generic paid advertising (e.g., "Best Trade Copier 2026"). However, you are strictly prohibited from bidding on branded keywords, including but not limited to "LogToLast", "LogToLast LLC", or common misspellings of our trademark in any pay-per-click (PPC) campaigns (such as Google Ads, Bing Ads, etc.). Violating this rule will result in immediate termination and forfeiture of all unpaid commissions.
VIP Tier Eligibility: Top-performing affiliates and verified creators may be eligible for our VIP Fast-Track program, offering an immediate accelerated direct commission rate of 30%, or up to 40% for direct Solo Whale agreements without a recruiter intermediary, strictly safeguarded by our 40% Hard Cap. VIP status is subject to administrative review and ongoing compliance with these Terms.
Example disclosure: "I am a LogToLast affiliate and may earn a commission if you sign up using my link. This does not affect the price you pay."
For detailed guidance, please refer to the FTC's official Endorsement Guides at ftc.gov/endorsements.
5. Fraud Prevention & Prohibited Actions
LogToLast utilizes advanced device fingerprinting, IP tracking, and behavioral telemetry to monitor affiliate traffic. Engaging in any of the following activities will result in immediate termination of your affiliate account and the forfeiture of all unpaid commissions:
- Self-Referrals: Creating secondary accounts via VPNs or different email addresses to collect commissions on your own software subscriptions.
- Cookie Stuffing: Utilizing invisible iframes, pop-unders, or deceptive redirects to force your affiliate cookie onto a user's browser without their explicit intent to visit LogToLast.
- Brand Bidding: Bidding on trademarked LogToLast keywords (or misspellings) in Google Ads, Bing Ads, or other pay-per-click search engines.
- Spam: Sending unsolicited mass emails or aggressive direct messages (DMs) containing your affiliate link.
- Misrepresentation: Making false claims about LogToLast's capabilities, guaranteeing business success, or presenting yourself as an official employee of the company.
6. Eligibility & Enrollment
To participate in the LogToLast Ambassador & Affiliate Program, you must meet the following requirements:
- You must be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater.
- You must have an active LogToLast account in good standing.
- Only one affiliate account is permitted per individual or legal entity.
- LogToLast reserves the right to approve or reject any application at its sole discretion without providing a reason.

- Acceptance into the Program does not guarantee any minimum level of earnings.
7. Termination
Either party may terminate this Agreement at any time by providing 30 days' written notice via email. LogToLast may terminate this Agreement immediately and without notice if the affiliate:
- Engages in fraud or any prohibited activity described in Section 5;
- Breaches any term or condition of this Agreement;
- Brings the LogToLast brand into disrepute; or
- Becomes subject to sanctions or other legal restrictions that prohibit commercial transactions.
Upon termination, the following applies:
- The affiliate must immediately cease using all LogToLast branding, marketing materials, and referral links.
- Commissions already in "Payable" status at the date of termination will be paid within 60 days, subject to the $50.00 USD minimum threshold.
- Commissions still in "Pending" status (within the Net-30 holding period) at the date of termination are forfeited.
- The affiliate's referral code and discount code are permanently deactivated.
LogToLast may deactivate referral links immediately upon termination. Referred users already attributed to the affiliate at the time of termination remain attributed for commission purposes on qualifying payments made prior to termination.
8. Intellectual Property & Brand Usage
LogToLast grants affiliates a limited, non-exclusive, non-transferable, revocable license to use the LogToLast name and approved logo assets solely for the purpose of promoting the platform under this Agreement. This license is automatically revoked upon termination.
Affiliates may NOT:
- Modify, distort, or alter LogToLast logos or branding in any way;
- Register domain names, social media handles, or app store listings containing "LogToLast" or confusingly similar variations;
- Create content that implies official endorsement by, or employment with, LogToLast; or
- Use LogToLast branding in any context that is illegal, defamatory, or otherwise objectionable.
All marketing materials must accurately represent LogToLast's current features and pricing. Upon termination, affiliates must remove all LogToLast branding from their websites, social media profiles, and promotional materials within 15 calendar days.
9. Indemnification
The affiliate agrees to indemnify, defend, and hold harmless LogToLast LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- The affiliate's promotional activities and marketing content;
- Any breach of this Agreement by the affiliate;
- Any violation of applicable laws or regulations by the affiliate;
- Any content created by the affiliate that infringes upon third-party intellectual property rights or other rights; and
- Any tax liability arising from commissions earned under this Agreement.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOGTOLAST LLC'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS ACTUALLY PAID TO THE AFFILIATE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL LOGTOLAST BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE THEORY OF LIABILITY.
LOGTOLAST MAKES NO GUARANTEE OF EARNINGS. COMMISSION AMOUNTS DEPEND ENTIRELY ON THE AFFILIATE'S OWN MARKETING EFFORTS AND THE PURCHASING DECISIONS OF REFERRED USERS.
THE AFFILIATE ACKNOWLEDGES THAT LOGTOLAST MAY MODIFY ITS PRICING, FEATURES, OR BUSINESS MODEL AT ANY TIME, WHICH MAY AFFECT COMMISSION AMOUNTS. SUCH MODIFICATIONS SHALL NOT CONSTITUTE A BREACH OF THIS AGREEMENT.
11. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Sheridan, Wyoming, or remotely via video conference at LogToLast's discretion.
- Each party shall bear its own costs and attorneys' fees.
- The arbitrator's award shall be final, binding, and enforceable in any court of competent jurisdiction.
- BOTH PARTIES WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
For affiliates located in the European Union: This clause does not override any mandatory consumer protection rights you may have under applicable EU law.
12. Modification of Terms
LogToLast reserves the right to modify these terms at any time. Changes will be handled as follows:
- Material changes will be communicated to affiliates via email and/or an in-app notification at least 30 days before they take effect.
- Continued participation in the Program after the effective date of any changes constitutes acceptance of the revised terms.
- If you do not agree with the revised terms, your sole remedy is to terminate your participation in the Program in accordance with Section 7.
- Material changes that significantly affect commission rates, payout terms, or liability provisions will require explicit re-acceptance via the affiliate dashboard before you can continue earning commissions.
13. Confidentiality
The affiliate agrees to treat all non-public information received through the Program as confidential, including but not limited to: commission rate structures, conversion data, internal analytics, affiliate dashboard data, and any private communications from LogToLast.
Affiliates may publicly state that they participate in the LogToLast affiliate program but may not disclose specific commission rates, internal performance metrics, or revenue data without prior written consent from LogToLast.
This confidentiality obligation survives termination of this Agreement for a period of two (2) years.
14. Relationship of Parties
The affiliate is an independent contractor and is not an employee, partner, joint venturer, or agent of LogToLast LLC. Nothing in this Agreement creates an employment relationship, partnership, or agency between the parties.
- The affiliate has no authority to bind LogToLast or make representations on its behalf.
- The affiliate is solely responsible for their own business expenses, equipment, and insurance.
- LogToLast will not provide benefits, workers' compensation, insurance, or any other employment-related benefits to the affiliate.

European Union / EEA (GDPR & Digital Services Act): Affiliates must clearly disclose their commercial relationship in compliance with the EU Unfair Commercial Practices Directive and the Digital Services Act. Any processing of personal data of EU/EEA residents must comply with the General Data Protection Regulation (GDPR). LogToLast does not share personal data of referred users with affiliates.

16. Data Protection & Privacy
LogToLast processes affiliate personal data (including name, email address, payment information, tax forms, and IP address) in accordance with the LogToLast Privacy Policy.
- Personal data is retained for the duration of the affiliate relationship plus seven (7) years for tax, legal, and regulatory compliance purposes.
- If a referred user exercises their right to erasure under GDPR or similar data protection legislation, their referral attribution will be anonymized. The referral link is preserved for commission integrity, but no personally identifiable information will remain.
- LogToLast uses cookies and tracking technologies (including device fingerprinting and IP-based geolocation) to attribute referrals and prevent fraud. This constitutes personal data processing under GDPR and similar regulations.
- Affiliates do NOT have access to any personal data of referred users. The affiliate dashboard displays only anonymized, aggregated statistics.
17. Tax Obligations & Reporting
All affiliates are solely responsible for their own tax compliance. Please review the requirements applicable to your situation:
- United States Affiliates: If your total commissions reach or exceed $600 USD in a calendar year, LogToLast is required by the IRS to issue you a Form 1099-NEC. You must provide a valid W-9 form before payouts can be processed.
- Non-United States Affiliates: You must provide a valid W-8BEN (for individuals) or W-8BEN-E (for entities) form. Failure to provide a valid tax form may result in backup withholding at the applicable IRS rate (currently 24%) being applied to your commissions.
- All affiliates are solely responsible for calculating, reporting, and remitting any income taxes, value-added taxes (VAT), goods and services taxes (GST), or other taxes owed to their respective tax authorities.
- LogToLast does not provide tax advice. Affiliates are strongly encouraged to consult with a qualified tax professional regarding their individual obligations.
- Tax forms are collected electronically through our secure third-party tax compliance provider. Payouts are strictly blocked until valid tax forms are submitted and verified.
18. OFAC & Sanctions Compliance
By participating in this Program, you represent and warrant that you are not:
- Located in, or a resident of, any country or region subject to comprehensive U.S. sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine);
- Listed on the U.S. Department of the Treasury's Specially Designated Nationals and Blocked Persons (SDN) List; or
- Otherwise blocked or prohibited from participating in commercial transactions under U.S. law.
LogToLast reserves the right to immediately suspend or terminate any affiliate account and forfeit all unpaid commissions if it determines, at its sole discretion, that the affiliate is in violation of any applicable sanctions laws. Affiliates must promptly notify LogToLast if their sanctions status changes at any point during their participation in the Program.
19. General Provisions
- Entire Agreement: This Agreement, together with the LogToLast Terms of Service and Privacy Policy, constitutes the entire agreement between the parties regarding the affiliate program and supersedes all prior or contemporaneous agreements, representations, and understandings.
- Severability: If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
- Waiver: The failure of either party to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
- Assignment: The affiliate may not assign, transfer, or delegate this Agreement or any rights or obligations hereunder without LogToLast's prior written consent. LogToLast may freely assign this Agreement in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond their reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, or internet and infrastructure failures.
- Notices: All notices under this Agreement shall be sent via email to the address associated with the affiliate's LogToLast account, or to [email protected] for notices directed to LogToLast.
- Survival: Sections relating to indemnification (Section 9), limitation of liability (Section 10), confidentiality (Section 13), governing law and dispute resolution (Section 11), and these general provisions (Section 19) shall survive termination of this Agreement.

Continued participation in the Program constitutes acceptance of all terms set forth in this Agreement.
