End-User License Agreement

Applies to: LogToSync Desktop App (MT5 & NinjaTrader Bridge) and Backtest Lab Desktop App (TradingView/CSV Backtesting)

1. Scope of This Agreement — Covered Software

This EULA governs your use of the following desktop applications distributed by LogToLast LLC:

This EULA supplements and does not replace your LogToLast Terms of Service and Privacy Policy, which continue to govern your overall use of the LogToLast platform. In case of conflict between this EULA and the Terms of Service regarding desktop software, this EULA shall prevail.

2. License Grant

Subject to your compliance with this Agreement and maintaining a valid, active LogToLast subscription, LogToLast LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Download and install the Software on a reasonable number of personal computers that you own or control;
• Use the Software solely for your personal trading journal, analytics, and trade synchronization purposes;
• Access and use the Software in accordance with its documentation and these license terms.

This license is automatically and immediately revoked upon termination of your LogToLast subscription or your violation of any provision of this Agreement.

3. License Restrictions

You may NOT:

• Reverse Engineer: Decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code of the Software, except to the extent permitted by applicable law that cannot be contractually waived;
• Redistribute: Copy, distribute, sell, sublicense, rent, lease, or otherwise transfer the Software or any rights to it to any third party;
• Modify: Create derivative works based on the Software or modify, alter, or adapt any part of it;
• Bypass Security: Circumvent, disable, or otherwise interfere with the Software's license verification, authentication systems, or any security features;
• MAM/PAM Operations & Copy Trading Others: Use the Software to manage, copy-trade, or route signals on behalf of third-party clients, investors, or any accounts that do not belong to you (Managed Account Management or Portfolio Account Management). The Software is designed and licensed strictly for Personal Trade Syncing and analytics across your own personal accounts. Any use that constitutes an automated fund management operation or copy trading on behalf of others is expressly prohibited and violates both this EULA and the applicable NinjaTrader® API License Agreement;
• Spam/Abuse: Use the Software to generate excessive, malicious, or abusive API requests to our backend or to any third-party broker API;
• Commercial Redistribution: Bundle, embed, or incorporate the Software into any third-party commercial product or service without prior written authorization from LogToLast LLC.

4. What the Software Does — Technical Disclosures

In the interest of full transparency, this section discloses the exact technical operations of each application:

4.1 LogToSync — MT5 & NinjaTrader Bridge

• Local MetaTrader 5 / NinjaTrader connection: The application interfaces directly with your locally installed MT5 or NinjaTrader terminal using the official MetaTrader 5 Python API (MetaTrader5 library) or NinjaTrader-provided API. No third-party injection or manipulation of the broker terminal is performed.
• Persistent WebSocket connection: Upon startup and authentication, the application establishes and maintains a persistent, encrypted WebSocket connection to wss://api.logtolast.com (or the development endpoint). This connection transmits your trade signals and receives platform commands in real-time.
• Data transmitted to our servers: Your MT5/NinjaTrader account login ID (numeric account number), broker server name, real-time open/close trade events (symbol, volume, price, ticket number, timestamp), position modifications (stop-loss, take-profit changes), and aggregated account statistics (Balance, Equity). Your MT5/NinjaTrader master password, withdrawal password, or personal broker credentials are never read, transmitted, or stored by this application.
• Heartbeat mechanism: The application sends a periodic heartbeat signal (every 15 seconds) to verify connectivity and session validity with our servers.
• Automatic self-update: The application may automatically check for and download software updates from https://updates.logtolast.com on startup. Updates are signed and verified before installation.
• Self-heal mechanism: In cloud-hosted mode, if a network timeout indicates an IP ban from a broker's API, the application automatically notifies our backend to trigger an IP rotation and container restart. This is a stability feature, not a security bypass.
• Local configuration files: The application creates and maintains local configuration files (.json format) in its working directory to store your symbol mappings, risk settings, and session state. These files may contain your broker account ID and trading preferences.
• Tkinter/customtkinter GUI: The desktop UI is built with Python's Tkinter and customtkinter libraries. No browser engine is used; no web tracking pixels are loaded by the desktop application.
• Windows Registry access: On Windows systems, the application may access the Windows Registry (winreg) to detect local MetaTrader installation paths. No registry data is transmitted to our servers.

4.2 Backtest Lab Desktop App

• Local file processing: CSV trade exports (from TradingView, or manually created) are imported and processed entirely on your local machine. No raw CSV data is uploaded to our servers without your explicit consent.
• AI-assisted column mapping (optional): If you use the "Auto-Map with AI" feature, a sanitized representation of your CSV column headers is transmitted to the LogToLast API, which forwards them to Google Gemini 3.1 Flash Lite for mapping suggestions. Raw trade data rows are not transmitted in this step.
• Backtest result sync: Once a backtest is completed and you click "Sync to Dashboard", the calculated backtest metrics (not raw row data) are transmitted to your LogToLast cloud account.
• TradingView integration: The application processes TradingView Pine Script strategy exports. We are not affiliated with TradingView, Inc. TradingView is a trademark of its respective owner.

5. Subscription Dependency

The Software requires an active, valid LogToLast subscription to function. Specifically:

• The application authenticates your identity by validating your credentials against the LogToLast API on each startup.
• If your subscription expires, is cancelled, or your account is suspended, the application will be unable to establish a session and will become non-functional.
• The 14-day free trial period available on the LogToLast platform also grants access to the desktop application during its duration.
• LogToLast reserves the right to remotely disable or modify the Software's functionality at any time, with or without notice, to ensure compliance with this Agreement or for maintenance purposes.

6. Intellectual Property

LogToLast LLC retains all ownership, title, and intellectual property rights in and to the Software, including all source code, compiled binaries, documentation, design, algorithms, and trade secrets contained therein. This Agreement does not grant you any ownership rights in the Software — only the limited license to use it as described above.

Feedback, bug reports, or improvement suggestions you submit regarding the Software may be used by LogToLast without compensation, attribution, or restriction.

7. Third-Party Components

The Software incorporates open-source and third-party components. By using the Software, you also agree to the terms of these components, including but not limited to:

• MetaTrader 5 Python API — subject to MetaQuotes Software Corp. terms
• websocket-client — MIT License
• ttkbootstrap / customtkinter — MIT License
• numpy / pytz / requests / certifi — respective open-source licenses

8. Data Collection by the Desktop Software

In addition to the technical disclosures in Section 4, the following summarizes the data collected by the desktop software and how it is used:

All data transmission between the desktop application and LogToLast servers uses TLS 1.2+ encryption. Our full data practices are described in the Privacy Policy.

9. No Financial Advice & Trading Risk

The Software is a data synchronization and analytics tool. It does not provide financial, investment, or trading advice. By using the Software:

• You acknowledge that trading in financial markets, including futures, forex, and derivatives, involves substantial risk of loss and is not suitable for all investors.
• You bear sole and complete responsibility for all trading decisions made using or in connection with this Software.
• LogToLast LLC is not responsible for any trading losses, missed trades, failed Prop Firm evaluations, or other financial damages arising from the use or malfunction of this Software.

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY. LOGTOLAST LLC DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SOFTWARE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOGTOLAST LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF LOGTOLAST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL LOGTOLAST'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) USD $100 OR (B) THE TOTAL SUBSCRIPTION FEES YOU PAID TO LOGTOLAST IN THE 30-DAY PERIOD PRECEDING THE CLAIM.

DISCLAIMER OF RISK MANAGEMENT FEATURES: THE "ACTIVE ENFORCER", "WATCHDOG", AND "PLAYBOOK" FEATURES PROVIDED VIA THE SOFTWARE OR CONNECTED PLATFORMS ARE CONVENIENCE TOOLS ONLY. LOGTOLAST LLC BEARS ABSOLUTELY NO LIABILITY FOR BLOWN FUNDED ACCOUNTS, TRADING LOSSES, OR PROP FIRM FAILURES ARISING FROM THE DELAY, LATENCY, OR FAILURE OF THESE FEATURES TO ALERT YOU OR ENFORCE YOUR RULES.

12. Automatic Updates

LogToLast may release updates to the Software from time to time. These updates may:

• Be downloaded and installed automatically when you launch the Software;
• Modify, add, or remove features;
• Be required to maintain compatibility with broker API changes or our backend infrastructure.

Continued use of the Software after an update constitutes your acceptance of any revised EULA presented at that time. Critical security updates may be applied without user intervention to protect the integrity of connected broker accounts.

13. Termination

This license is effective until terminated. It will terminate automatically, without notice from LogToLast, if you fail to comply with any provision of this Agreement or if your LogToLast subscription ends. Upon termination:

• You must immediately cease using the Software and delete all copies from your devices;
• Any locally cached configuration files (.json) and session logs may be deleted from your machine at your discretion;
• LogToLast will process the deletion of your server-side data in accordance with our Privacy Policy and the 30-day soft-delete retention policy described therein.

14. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any dispute arising from this Agreement shall first be submitted to binding confidential arbitration in Wyoming. For injunctive relief related to intellectual property violations, LogToLast may seek relief in any court of competent jurisdiction.

15. Trademark Notices

The following trademarks are the property of their respective owners. LogToLast's use of them in this Agreement is descriptive only and implies no affiliation or endorsement:

• NinjaTrader® is a registered trademark of NinjaTrader Group, LLC. NinjaTrader Group LLC has no affiliation with or endorsement of LogToLast or its software.
• MetaTrader 5® is a trademark of MetaQuotes Software Corp.
• TradingView® is a trademark of TradingView, Inc.
• Windows® is a trademark of Microsoft Corporation.
• Rithmic, Tradovate, TopStep, Apex Trader Funding, and other names referenced are trademarks of their respective owners.
